Jet.AI and Consensus Core partner to develop a 500MW hyperscale AI data center campus in Midwestern Canada, leveraging low-cost energy and strategic infrastructure.

Jet.AI Inc. and Consensus Core Technologies Inc. have entered into a definitive agreement to jointly develop a hyperscale data center campus in Midwestern Canada, a project that aims to meet the increasing demand for AI infrastructure.

The initiative positions Jet.AI as a key player in the growing AI data center market, responding to critical infrastructure shortages that are hindering AI adoption across industries.

Energy Advantages and Infrastructure Support

The proposed hyperscale campus will benefit from Canada's significant low-cost energy resources. Located near North America's largest natural gas pipeline, the site is strategically positioned to take advantage of abundant and affordable energy.

Additionally, the site has access to a high-capacity electrical transmission line, a nearby substation, and fiber access less than a mile away, making it an ideal location for AI infrastructure. The location's precise details remain confidential, with further disclosures expected as the companies progress toward five defined project milestones.

Mike Winston, Founder and Executive Chairman of Jet.AI, said, “With 90-gigawatts of excess power demand to service US AI compute and growing pressure to build capacity fast, sites like these-where power, cooling, and scale all line up-are more valuable than ever. Were it not for the shale boom in the US and the rise in the number of domestic renewable power projects, much of the natural gas and electricity sitting idle at this northern site would have already been sold south on long-term contracts. But times change.”

He added, “Today, that same stranded and underpriced energy can be tapped at the source. Add in the bonus of frigid Canadian air, which helps cool servers for free, and you’ve got a site that’s hard to beat for AI infrastructure. We plan to let the milestones do the talking on the way to the first 100MW of 500MW of initial capacity.”

Partnership Structure and Investment Terms

The joint venture will see both Jet.AI and Consensus Core contributing equity to the Midwestern Project. Consensus Core will contribute 100% of the equity for both the Midwestern and Maritime Projects. Jet.AI will invest up to $20 million in five tranches, tied to specific project milestones. In exchange, Jet.AI will receive a 17.5% equity promote initially, with additional equity granted upon each investment.

Consensus Core’s Expertise Strengthens the Project

The collaboration with Consensus Core significantly bolsters the project's technical foundation. As an NVIDIA cloud service partner, Consensus Core brings specialized expertise in GPU infrastructure for AI workloads, ensuring that the data center is aligned with the demands of next-generation AI applications.

Consensus Core's leadership team includes experts with extensive experience in building and scaling hyperscale data centers for AI applications, with backgrounds in M&A transactions, large-scale infrastructure development, and AI-focused cloud computing.
